Terms & Conditions
These Terms and Conditions govern your use of the Paraglice AG website and, where stated, govern quotations, orders, and the provision of our products and services. If you sign a separate agreement with us, that agreement prevails over these Terms in case of conflict.

2. Scope and Acceptance

3. Definitions
- Services means consulting, installation, maintenance, licensing, and any other services offered by Paraglice AG.
- Products means any physical goods provided by Paraglice AG.
4. Website Use
- Content on this site is for general information only and may change without notice.
- You must not misuse the site, attempt unauthorized access, or introduce harmful code.
- Third-party links are provided for convenience. We are not responsible for their content.
5. Quotes, Orders, and Contracts
- Quotes are non-binding unless expressly stated otherwise and typically valid for 30 days.
- An order is accepted when we confirm it in writing. We may refuse orders at our discretion.
- Specifications and drawings are indicative. Final technical details are defined in the order confirmation or contract.
6. Prices, Taxes, and Payment
- All prices are in CHF unless stated otherwise and exclude VAT, duties, and shipping.
- Payment terms are as stated on the invoice or contract. Late payments may incur default interest as permitted under Swiss law plus collection costs.
- We retain title to Products until full payment is received.
7. Delivery, Installation, and Risk
- Estimated delivery or completion dates are indicative.
- Risk passes on delivery according to the agreed Incoterms or, for services, upon acceptance.
- You must provide site access, utilities, and safe conditions for installation and service work.
8. Licences and Service Plans
- Any software, documentation, know-how, or regeneration materials we provide are licensed, not sold, and may only be used as permitted in the licence or service agreement.
- KPIs, territories, thresholds, and fees are shared under NDA where applicable.
9. Warranty
- We warrant that Products and Services will conform to the agreed specifications at delivery or completion.
- Your remedies are repair, replacement, or re-performance at our option within a reasonable time.
- Warranty does not cover misuse, improper maintenance, unauthorized modifications, normal wear, or external events.
10. Intellectual Property
- All IP rights in our technology, designs, images, text, and trademarks remain with Paraglice AG or its licensors.
- You may not copy, modify, reverse engineer, or use our IP except as expressly permitted.
11. Liability
- We are liable for intent and gross negligence as provided by Swiss law.
- To the maximum extent permitted by law, we exclude liability for indirect or consequential loss such as loss of profit, data, or business interruption.
- For slight negligence, our total aggregate liability is limited to the amount paid for the specific order that gave rise to the claim.
- Nothing limits liability for death or personal injury caused by negligence where such limitation would be unlawful.
12. Data Protection
Personal data is processed according to our Privacy Policy under the Swiss Federal Act on Data Protection and, where applicable, the GDPR.
13. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural events, power or network outages, supplier failures, or regulatory actions.
14. Termination
- We may terminate or suspend services with immediate effect if you materially breach these Terms or any contract and fail to cure within a reasonable period after notice.
- Upon termination you must cease using licensed materials and pay all amounts due.
15. Severability
If any provision is held invalid, the remaining provisions remain in full force. An invalid provision will be replaced by a valid one that comes closest to the commercial intent.
16. Governing Law and Jurisdiction
These Terms are governed by Swiss substantive law. The courts of the Canton of Zug, Switzerland, have exclusive jurisdiction, subject to any mandatory venue for consumers under applicable Swiss law.
